Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Genvolve website, platform, applications and related services (collectively, the “Services”) operated by Genvolve Private Limited, a company incorporated under the laws of India, and having its registered office at 212, 2nd Floor, Hare, Govind Complex, Zone-1, Shiksha Mandal, Bhopal, Huzur, Madhya Pradesh, India, 462011 (“Genvolve”, “we”, “us” or “our”).

By creating an account, accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.

If you are creating or managing an account for a child, you confirm that you are the child’s parent or legal guardian and that you are authorised to agree to these Terms on the child’s behalf to the extent permitted by applicable law.

2. The Services

Genvolve is an AI-powered learning companion designed to support children through age-appropriate educational and interactive experiences.

The Services may include AI-powered text conversations, image generation, text-to-speech, educational activities, challenge features, parent summaries, safety alerts and other features that Genvolve may introduce from time to time.

The Services may be modified, updated or discontinued from time to time.

3. Eligibility and Parental Responsibility

The Services are intended for use by children between 6 and 14 years of age under the supervision and control of a parent or legal guardian.

A parent or legal guardian must create and manage the account for a child.

You represent and warrant that:

• you are at least 18 years old;
• you are the parent or legal guardian of the child for whom the account is created, or are otherwise legally authorised to act on the child’s behalf;
• the information provided during registration is accurate and complete;
• you will supervise the child’s use of the Services appropriately; and
• you will ensure that the Services are used in accordance with these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for activities carried out through your account. If any of the above representations is found to be inaccurate or false, Genvolve may suspend or terminate the relevant account and take such other action as may be permitted under applicable law.

4. Parental Consent

Where the Services involve the processing of personal data of a child, the parent or legal guardian must complete the applicable parental verification and consent process before the child’s personal data is processed, in accordance with applicable law.

You must provide accurate information during the parental verification process and must not misrepresent your identity or relationship with the child.

Genvolve may require additional verification where necessary to establish the identity and age of the parent or legal guardian.

The applicable processing of personal data is described in our Privacy Policy.

5. Account Registration and Security

You must provide accurate and complete information when creating an account.

You are responsible for:

• maintaining the security of your account and password;
• ensuring that your account is not accessed by unauthorised persons;
• promptly notifying Genvolve of any suspected unauthorised access; and
• all activities carried out through your account.

You must not share your account credentials with persons who are not authorised to use the account. Genvolve reserves the right to suspend or terminate an account where we reasonably believe that the account has been compromised or is being used in violation of these Terms.

6. Subscriptions, Fees and Payment

Where paid Services are offered, the applicable price and subscription terms will also be displayed before purchase.

6.1 Subscription Plans and Pricing

We offer individual (B2C) and institutional (B2B) subscription plans. B2C plans are currently priced at ₹999/month in India and USD 14.99/month outside India, with a 14-day free trial. B2B plans are offered on a per-student basis across three volume tiers, with monthly or quarterly billing options. Annual billing is available at a 20% discount.

Pricing may vary by region, plan type and volume, and the applicable pricing and billing terms will be displayed on the Platform at the time of purchase. Prices will be displayed in INR for users in India and USD for users outside India.

B2C payments are processed through Stripe, while B2B payments are processed through bank transfer.

6.2 Billing

Where you purchase a subscription, you authorise Genvolve or its applicable payment service provider to charge the verified parent or legal guardian’s authorised payment method for the applicable subscription fees and any applicable taxes. The child will not be required or permitted to provide or access payment information for the Services.

6.3 Automatic Renewal

Unless otherwise stated at the time of purchase, a subscription may automatically renew for the applicable subscription period unless cancelled before the renewal date.

6.4 Free Trials

Genvolve may offer free trials or promotional access to certain Services. Where a free trial is offered, the applicable duration, eligibility requirements and conversion terms will be communicated at the time of registration. If a payment method is required for a free trial, you may be automatically charged at the end of the trial period unless you cancel before the trial expires.

6.5 Cancellation & Refunds

Subscriptions are non-refundable for any partial billing period. If you cancel your subscription, the cancellation will take effect at the end of the current billing period, and you will continue to have access to the Services until then. For annual subscriptions, no refund will be provided for any unused portion of the subscription period.

6.6 Failed Payments

If a payment cannot be processed, Genvolve may request that you update your payment details and may suspend or restrict access to paid Services until payment is successfully received.

6.7 Changes to Pricing

Genvolve may change the fees applicable to the Services from time to time. Where a price change affects an existing recurring subscription, Genvolve will provide reasonable notice before the new price becomes applicable, where required by law.

6.8 Taxes

You are responsible for applicable taxes, duties or other governmental charges associated with your purchase of the Services, except to the extent such amounts are required to be borne or collected by Genvolve under applicable law.

6.9 Business and Consumer Disclosures

Genvolve’s applicable business identification and consumer-facing disclosures, including its PAN, GSTIN (where applicable), registered office address, contact details, will be made available through the Services and/or at the point of purchase, as required under applicable law.

7. Intellectual Property Rights

The Services, including all software, text, graphics, logos and underlying technology (excluding User Content), are owned by or licensed to Genvolve and are protected under applicable intellectual property laws.

Subject to your compliance with these Terms, Genvolve grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes. You must not copy, modify, distribute, reverse engineer, or use automated means to access the Services, except as expressly permitted by applicable law.

8. User Content

“User Content” means any content submitted or generated through the Services, including chat prompts and images created by a child.

You retain ownership of User Content. By submitting User Content, you grant Genvolve a worldwide, royalty-free licence to use, host, store and process such content only to the extent necessary to provide, operate, secure and maintain the Services, in accordance with our Privacy Policy.

You are responsible for ensuring that User Content does not violate these Terms or infringe any third-party rights.

9. AI-Generated Content

The Services use artificial intelligence to generate responses, images and other content based on a child’s inputs. AI-generated content is produced automatically and, notwithstanding Genvolve’s safety and moderation measures, may not always be accurate, complete or age-appropriate.

The Services are intended to supplement, not replace, instruction by a qualified teacher, and do not constitute medical, psychological or other professional advice. Parents should exercise judgment in supervising their child’s use of, and reliance on, AI-generated content.

10. Acceptable Use

You must not use the Services to violate applicable law; upload or generate unlawful, obscene or harmful content; impersonate any person; attempt unauthorised access to the Services or other accounts; interfere with the operation of the Services; attempt to circumvent any parental control, safety or moderation feature; use the Services in a manner that may endanger, exploit or cause harm to a child; or attempt to obtain, solicit, misuse or disclose a child’s personal information through the Services.

You must not use the Services to create, request, upload or generate content that sexualises, exploits, harms or endangers a child or minor, including any sexual or sexually suggestive content involving a child or minor.

Genvolve may investigate and take appropriate action, including suspending or terminating an account, for any violation of this Section 10. Where Genvolve receives a complaint regarding content depicting a person in a sexual act or containing full or partial nudity, Genvolve will take appropriate action in accordance with applicable law, including removal or disabling access to such content within the applicable statutory timeline.

Genvolve will use reasonable efforts to detect and prevent the generation, hosting or sharing of content that is harmful to children or otherwise prohibited under applicable law, including through appropriate safety and content-moderation measures.

11. Third-Party Services

The Services rely on third-party providers for functions such as hosting, AI processing, text-to-speech and payment processing. Genvolve’s use of such providers is described in our Privacy Policy.

The Services may contain links to third-party websites not owned or controlled by Genvolve. Genvolve is not responsible for the content or practices of any third-party website, and use of such sites is at your own risk.

Genvolve’s collection, use and disclosure of personal data is described in our Privacy Policy.

13. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. GENVOLVE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL ALWAYS BE ACCURATE. NOTHING IN THIS SECTION EXCLUDES ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED UNDER APPLICABLE LAW.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND SUBJECT TO THE EXCLUSIONS SET OUT BELOW, GENVOLVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OF THE SERVICES. GENVOLVE’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GENVOLVE.

NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

15. Indemnification

You agree to indemnify and hold Genvolve harmless from any claims, damages, losses, liabilities or expenses arising from (i) your material breach of these Terms; (ii) your unlawful or unauthorised use of the Services; or (iii) your infringement or violation of any third-party rights.

16. Force Majeure

Genvolve shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including natural disasters, war, terrorism, riots, acts of government, pandemics, or failures of third-party service providers or internet infrastructure.

17. Term and Termination

These Terms apply for as long as you use the Services. Genvolve may suspend or terminate your account where (i) you materially breach these Terms; (ii) the account is used for unlawful, fraudulent or unauthorised purposes; (iii) the account or Services are used in a manner that compromises the safety or security of the Services or any child; (iv) applicable fees remain unpaid; or (v) suspension or termination is required by applicable law. You may terminate your account at any time in accordance with the process made available through the Services. Sections 7, 13, 14, 15, 18 and this Section 17 survive termination.

18. Grievance Redressal

In accordance with applicable law, Genvolve has appointed a Grievance Officer to address grievances relating to the Services. The Grievance Officer will acknowledge complaints within 24 hours of receipt and endeavour to resolve them within 15 days, or within such shorter period as may be required under applicable law. Contact details are set out in our Privacy Policy and at Section 22 below.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Bhopal, Madhya Pradesh, India.

20. Changes to these Terms

Genvolve may amend these Terms from time to time. Material changes will be notified through email or a prominent notice on the Services before taking effect. Where required by applicable law, Genvolve will obtain your express acceptance to material changes before such changes become applicable to your continued use of the Services. Where a change materially affects the purposes or manner of processing a child’s personal data, Genvolve will obtain any fresh parental verification or consent required under applicable law through the parental consent mechanism described in the Privacy Policy, and such processing will not be treated as authorised solely by acceptance of these Terms. For other changes, your continued use of the Services after the effective date of the revised Terms will constitute acceptance of those changes.

21. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Genvolve. If any provision is held invalid, the remaining provisions continue in effect. Genvolve’s failure to enforce any provision is not a waiver. You may not assign these Terms without Genvolve’s consent; Genvolve may assign these Terms without restriction.
